1. Restricted stock units granted by Enzon Pharmaceuticals, Inc. ("Enzon") pursuant to Enzon's 2001 Stock Incentive Plan and qualified under Rule 16b-3(d).

2. Of the 7,137 shares granted, 2,379 will vest on April 19, 2011, 2,379 will vest on April 19, 2012, and the remaining 2,379 will vest on April 19, 2013 so long as Dr. Deuel is a member of Enzon's board of directors on the above dates.

3. Stock options granted by Enzon pursuant to Enzon's 2001 Incentive Stock Plan and qualified under Rule 16b-3(d).

4. Of the 17,673 options granted by Enzon, 5,891 will vest on April 19, 2011, 5,891 will vest on April 19, 2012, and the remaining 5,891 will vest on April 19, 2013 so long as Dr. Deuel is a member of Enzon's board of directors on the above dates.
